These Terms govern access to Navid’s websites and online services, including Playground, Arabic language models, API access and credits, AI assistants, text-to-speech tools and Bayan document and knowledge workspaces, when each is made available. A product’s presence on our website does not mean it is available for general use. Private previews, pilots and demonstrations may have additional terms disclosed before access.
2. Your agreement with Navid
The agreement consists of these Terms, the Billing, Cancellation & Refund Policy, and the plan or order you accept. The Privacy Policy explains personal-data processing; accepting these Terms is not blanket consent to optional marketing or other consent-based processing.
When registering or purchasing, review the terms presented and confirm your acceptance. We will provide an order confirmation for paid services. Keep a copy of the terms and order that apply to your purchase. A visitor’s use of public pages does not itself authorize paid charges.
A signed enterprise agreement and its order form prevail over conflicting general commercial terms. An agreed data processing agreement (DPA) governs processing on a customer’s behalf. These arrangements cannot remove rights or duties that applicable law makes non-waivable. Product-specific terms apply only when clearly disclosed and accepted.
3. Registration and account security
Self-service accounts are for people aged 18 or over who have legal capacity to enter into the agreement. If you register or place an order for an organization, you must have authority to bind it. Provide accurate registration and billing details and keep them current. We may request proportionate verification needed to protect accounts, prevent fraud or meet legal obligations.
Keep credentials and API keys confidential, use available security controls, and promptly report suspected compromise to info@navid.sa. Do not share an individual login or sell access. You are responsible for activity you authorize and for reasonable protection of your credentials; this does not make you responsible for losses caused by Navid’s breach of its obligations.
Organization administrators can manage membership, permissions, content and account settings within their workspace. Your organization’s policies may apply to that workspace. A shared email domain alone does not authorize us to give an organization access to a personal account.
4. Plans, availability and changes
Your plan or order describes the features, usage allowances, model access, support and any agreed service levels. We will provide the purchased service with reasonable skill and care and in accordance with the agreed description. An uptime commitment or dedicated support arrangement applies only where expressly agreed.
AI models and features may change as we improve reliability, security and capability. We will give reasonable advance notice of changes that materially reduce paid functionality or discontinue a paid service, except where urgent security or legal needs prevent advance notice. If we cannot provide a material paid feature, applicable remedies and the Billing Policy continue to apply.
Previews may be incomplete, limited or withdrawn. Do not rely on a preview for critical operations unless expressly agreed. A preview label does not remove mandatory rights or promises expressly made for that preview.
5. Your content and intellectual property
"Customer Content" means documents, prompts, messages, data, audio, files and other material you submit, together with outputs produced for you through the service. You retain your rights in your input. As between you and Navid, you may use your outputs, and Navid assigns to you any rights it may hold in those outputs to the extent such rights exist and can lawfully be assigned. This does not grant rights belonging to other people or guarantee copyright protection, originality or exclusivity. Similar outputs may be generated for other users.
You grant Navid a limited right to host, copy, process, transmit and display Customer Content as necessary to deliver the requested service, provide requested support, meet lawful obligations and maintain service security, subject to the Privacy Policy and any DPA. This permission is not an unrestricted right to publish, sell or commercially exploit your content.
Any model-training use requires a separately identified purpose and lawful basis and must be transparently described before the relevant processing. These Terms do not themselves authorize an undisclosed training use. The service’s verified content-handling practices must be set out in its Privacy Policy or applicable product notice.
You must have the rights and lawful authority needed to upload content, instruct processing and share outputs. Navid retains rights in its platform, models, interfaces, documentation, software and branding. Your access is limited to the subscribed service and does not transfer ownership of those materials.
6. Confidentiality and information security
Navid will treat non-public Customer Content as confidential, use it only for the purposes described in the agreement and applicable notices, and restrict access to authorized people and service providers who need it for those purposes and are subject to appropriate confidentiality obligations. Disclosure may be required by law; where legally permitted, we will give appropriate notice and limit disclosure to what is required.
Navid will maintain administrative, organizational and technical safeguards appropriate to the nature of the information and the risks of processing. No online service can guarantee absolute security. This statement does not reduce our legal duties or any specific safeguards agreed in writing.
Review workspace permissions and integration settings before sharing information. Do not upload highly sensitive, regulated or third-party confidential information unless you have a lawful basis and the applicable service and agreement support that use. A general subscription does not by itself establish suitability for regulated workloads.
7. AI output, human review and voice use
AI output can be inaccurate, incomplete, outdated, biased or unsuitable, even when it sounds confident or includes references. Document extraction, summaries, calculations, Arabic dialect interpretation and generated speech can contain errors. Check source material and independently verify important information before relying on or sharing it.
The services do not replace qualified legal, medical, financial or other professional judgment. Do not use AI output alone for consequential decisions affecting a person’s rights, health, employment, access to services or safety. Apply appropriate human review and any legally required safeguards.
When enabling an assistant or integration to take actions, understand its permissions and review consequential actions before authorizing them. Only connect services and data you are permitted to use.
For text-to-speech and any voice features, obtain the necessary rights and permissions. Do not create deceptive impersonations, unauthorized voice replicas or audio that misrepresents a person’s approval or identity. Identify synthetic content where required by law or necessary to avoid deception.
These limitations explain the nature of AI; they do not excuse failure to deliver expressly promised functionality or override mandatory remedies.
8. Acceptable use and APIs
Use the services lawfully and respect other people’s privacy and rights. You must not:
- Use the services for fraud, unlawful surveillance, harassment, illegal content, malicious code or infringement of intellectual property or confidentiality.
- Attempt unauthorized access, expose another customer’s information, compromise security or disrupt service availability.
- Bypass access controls, rate limits or billing, exploit service errors, or misrepresent usage or identity.
- Resell account access or offer the service as your own except where your plan or written agreement permits integration or resale.
API customers must follow documented limits, keep keys out of public code and client applications, and provide appropriate notices and protections to their own users. Usage units, rates and any overage or automatic top-up arrangements must be disclosed before you agree to them. We may use proportionate measures to address suspected abuse and will review good-faith reports sent to our contact email.
9. Fees and billing
The price, currency, billing period, applicable taxes, usage limits and renewal arrangements are those disclosed at checkout or in your accepted order. The Billing Policy explains subscription cancellation, credits, payment issues and refunds. Automatic renewal or top-ups require the clearly disclosed authorization described there.
Failure to pay an undisputed amount may lead to suspension after reasonable notice and an opportunity to resolve the issue. We will investigate good-faith billing disputes and will not remove legal rights because a payment is disputed.
10. Enterprise workspaces and data processing
An enterprise order should identify authorized users, deployment model, permitted uses, service levels, support, fees, security requirements and the term. Any on-premises or private deployment is governed by its specific written scope; a general hosted-service subscription does not include it.
Where the customer determines the purposes and means of processing personal data in its content and Navid processes on its behalf, the customer is the controller and Navid is a processor for that activity. The DPA must define instructions, safeguards, confidentiality, subprocessors, rights assistance, incidents, return or deletion and any applicable transfers. Navid remains responsible for its own controller activities, such as managing customer accounts and billing.
Organizations must manage permissions and provide their users with relevant notices. Navid’s public policies do not replace a required DPA, sector-specific assessment or approved deployment arrangement.
11. Suspension, closure and service termination
You can cancel renewal as explained in the Billing Policy and request account closure at info@navid.sa. Cancellation of renewal and deletion of an account are different actions. Explain which you need so we can preserve any remaining paid access or provide deletion as required.
We may restrict or suspend access where reasonably necessary to address a material breach, unlawful use, security risk or legal requirement. Where appropriate, we will explain the reason and allow you to remedy it before suspension; urgent cases may require immediate action. We will keep restrictions proportionate and provide a way to request review.
For ordinary termination or discontinuation, we will provide reasonable notice and an opportunity to export available content. Immediate access restrictions or legal duties may limit this. Return, retention and deletion of personal data remain subject to the Privacy Policy and any DPA. Do not rely on the service as your only copy of important records.
Termination does not automatically forfeit unused prepaid amounts. Refunds and amounts properly due are determined by the Billing Policy, the relevant agreement and applicable law.
12. Responsibility and liability
Each party is responsible for its breaches of the agreement and its obligations under applicable law. To the extent permitted by law, neither party is responsible for indirect or consequential losses that were not reasonably foreseeable when the agreement was made.
For business customers, subject to the exclusions below and any signed enterprise agreement, each party’s aggregate liability arising from the affected service is limited to the fees paid or payable for that service during the 12 months before the event giving rise to the claim. This contractual cap does not apply to individual customers.
No exclusion or cap applies to fraud, deliberate misconduct, gross negligence, breach of confidentiality or data-protection obligations, infringement of the other party’s intellectual property, or liability that law does not permit to be limited. Payment obligations and refunds properly due are not reduced by the cap. Mandatory rights remain available to any qualifying customer, including an enterprise.
13. Changes to these Terms
We will publish the effective date of updated Terms and give reasonable notice of material changes. Changes will not retrospectively remove accrued rights or change an existing prepaid commitment without a lawful basis and any required agreement. Material new obligations will be presented for acceptance where required. Price and renewal changes follow the Billing Policy.
14. Law, complaints and contact
Saudi Arabian law governs these Terms. Disputes may be brought before the competent courts of Saudi Arabia, subject to any mandatory jurisdiction or other rights. There is no mandatory arbitration requirement in these Terms.
Send legal questions, complaints or requests for review to info@navid.sa, with the relevant account or order details. We will review the concern and communicate our response. This process does not require you to give up or delay a complaint to the Ministry of Commerce, SDAIA or another competent authority, or access to a court.
If a provision cannot be enforced, the remaining provisions continue to apply to the extent legally possible. A failure to enforce a provision on one occasion is not a waiver of future enforcement.
